By using Ratsch, you accept these Terms of Use. Please read them carefully.

1. Scope

These Terms of Use apply to the use of the Ratsch application, a meeting transcription and protocol software. Ratsch is operated by:

2. Service Description

Ratsch offers the following services:

Recording and transcription of meetings and conversations
AI-powered summaries and protocol creation
To-do extraction from conversations
Speaker recognition (Speaker Diarization)
Integration with Microsoft 365 (Outlook, Teams)
Export to various formats

The availability of individual features may vary depending on the chosen plan (Free, Pro, Business).

3. Registration and Account

3.1 Account Requirements

You must be at least 18 years old or have parental consent
You must provide truthful information during registration
You are responsible for the security of your login credentials

3.2 Business Accounts

When using the service in a business context, you confirm that you are authorized to act on behalf of the company and accept these terms.

4. Usage Rights and Obligations

4.1 Permitted Use

Use for personal or business meeting documentation
Transcription of conversations where all participants have consented
Storage and export of your own transcripts

4.2 Prohibited Use

The following uses are expressly prohibited:

Recording conversations without the consent of all participants
Use for illegal activities or violation of third-party rights
Reverse engineering, decompilation, or manipulation of the software
Overloading servers through automated mass requests
Resale or sublicensing of the service without permission
Upload of content that violates applicable law

5. Consent to Recording

      Important: You are legally required to inform all meeting participants about the recording and obtain their consent before using Ratsch.
    

In many countries, including Italy and Germany, secretly recording conversations is a criminal offense. Ratsch assumes no liability for violations of this obligation.

6. Data Ownership and Intellectual Property

6.1 Your Content

You retain all rights to your recordings, transcripts, and documents generated from them. Ratsch does not claim ownership of your content.

6.2 Ratsch Service

All rights to the Ratsch software, design, brand, and underlying technology remain with Controlling Solutions. You receive a non-exclusive, non-transferable right to use the service for the duration of your subscription.

7. Payment Terms

7.1 Plans and Pricing

Current prices can be found on our Pricing page. Price changes will be announced at least 30 days in advance.

7.2 Billing

Paid subscriptions are billed monthly or annually in advance
Payment is processed via Stripe (credit card, SEPA direct debit)
Invoices are automatically sent by email and are subject to Italian VAT (22% IVA)

7.3 Cancellation and Refunds

You can cancel your subscription at any time at the end of the current billing period
No pro-rated refunds for already paid periods
After cancellation, you can continue using the service until the end of the paid period

8. Account Deletion and Data Retention

Important: After deleting your account, your data remains available for 30 days before being permanently deleted.

8.1 Deletion by User

You can delete your account at any time in the settings. After deletion:

Your access is immediately deactivated
Your data (transcripts, protocols) remains stored for 30 days
You can request restoration within these 30 days
After 30 days, all your data is irrevocably deleted

8.2 Deletion by Ratsch

We reserve the right to suspend or delete accounts in case of:

Violation of these Terms of Use
Illegal use of the service
Extended inactivity (over 24 months without login)

In case of suspension, you will be notified by email in advance and given the opportunity to export your data.

9. Availability and Liability

9.1 Availability

We strive for high availability of the service but cannot guarantee 100% uptime. Scheduled maintenance will be announced in advance.

9.2 Limitation of Liability

Ratsch is not liable for:

Indirect damages, lost profits, or data loss
Errors in AI-generated transcription or summaries
Damages caused by third-party services (OpenAI, Microsoft, Stripe)
Damages due to force majeure or circumstances beyond our control

Maximum liability is limited to the amount paid by the user in the last year.

10. Privacy

The processing of personal data is governed by our Privacy Policy and in compliance with the GDPR. For technical implementation details, see GDPR Details.

11. Changes to Terms of Use

We reserve the right to change these Terms of Use. Significant changes will be announced by email at least 30 days before taking effect. Continued use after the changes take effect constitutes acceptance of the modified terms.

12. Applicable Law and Jurisdiction

Italian law applies. Place of jurisdiction is Bolzano, Italy. For consumers, mandatory consumer protection regulations of their country of residence apply.

13. Dispute Resolution

The European Commission provides a platform for online dispute resolution (ODR): https://ec.europa.eu/consumers/odr.

14. Severability Clause

Should any provision of these Terms of Use be invalid, the validity of the remaining provisions remains unaffected. The invalid provision shall be replaced by a valid one that comes closest to the economic purpose.
